1. Overview
These Terms of Service describe how EPM Vitals may be evaluated, purchased, installed, activated, accessed, and used.
By downloading, installing, activating, accessing, purchasing, or using EPM Vitals, you agree to these Terms and to any order form, invoice, written commercial agreement, checkout terms, or activation terms that apply to your license.
If you are using EPM Vitals on behalf of a company, client, employer, partner practice, or other organization, you confirm that you have authority to accept these terms for that organization or that your use is separately authorized.
2. Definitions
In these Terms:
- "EPM Vitals" means the EPM Vitals software, documentation, activation workflow, updates, and related product materials.
- "Provider" means the EPM Vitals software provider identified in the applicable order, invoice, activation workflow, or written agreement.
- "User" or "you" means the person or organization using EPM Vitals.
- "Artifacts" means files, grids, metadata packages, application snapshots, mappings, business rules, exports, workbooks, logs, or other materials processed with EPM Vitals.
- "Outputs" means workbooks, summaries, run results, review evidence, screenshots, reports, logs, or other results generated by EPM Vitals.
- "License Scope" means the permitted users, modules, term, machine binding, customer scope, and usage rights shown in the order, invoice, activation code, or written agreement.
3. License Grant
Subject to these Terms and payment of applicable fees, Provider grants you a limited, non-exclusive, non-transferable license to use EPM Vitals within the License Scope.
The Individual Practitioner License is for one named user. It is intended for personal professional use by that named user and does not include team deployment, partner-wide rollout, client-side company deployment, redistribution, OEM use, white-label use, product code rights, or unlimited client-facing usage.
Team, partner, client-side company, OEM, white-label, redistribution, embedded, or broader commercial use requires a separate written agreement or written approval from Provider.
4. Permitted Use
You may use EPM Vitals to review, validate, compare, inspect, and generate Outputs from EPM-related Artifacts within your License Scope.
You may use generated Outputs for your internal review, professional analysis, implementation support, client discussion, readiness review, or operations work, provided that your use of those Outputs complies with your own confidentiality, data protection, employment, client, and platform obligations.
5. Usage Restrictions
You may not:
- share a named-user license with another person;
- use an individual license for team deployment or company-wide rollout;
- use an individual license as a partner delivery platform for unlimited client work;
- redistribute, resell, sublicense, rent, lease, host, or make EPM Vitals available as a service bureau or managed public service;
- copy, modify, reverse engineer, decompile, bypass, remove, or interfere with activation, licensing, signature checks, or access controls, except where applicable law expressly allows it;
- use EPM Vitals to build a competing product or to extract product design, workflow, or implementation details for competitive replication;
- use EPM Vitals in a way that violates applicable law, third-party rights, platform terms, client obligations, or confidentiality obligations;
- claim that EPM Vitals replaces Oracle EPM, Hyperion, OneStream, Smart View, implementation judgment, audit judgment, or professional responsibility.
6. Local Operation And Customer Environment
EPM Vitals is designed as a local software tool. Product processing of EPM Artifacts is performed on the user's local machine or local environment, not through a public cloud processing service operated by Provider.
You are responsible for the security, access control, backups, storage, device configuration, local network, and user permissions of the environment where EPM Vitals is installed and where Artifacts and Outputs are stored.
7. Activation And License Verification
EPM Vitals uses activation codes and local license verification. Some licenses may be machine-bound. For machine-bound activation, the software can generate a machine request containing product/version information, a request ID, an optional machine label, and hashed machine fingerprint data.
Activation data is used to issue and verify the applicable license. You may not bypass, tamper with, share, or modify activation or license data.
If you move to a new machine, reinstall the software, renew your license, or change license scope, you may need a new activation code or a new machine request.
8. Customer Artifacts And Outputs
You retain ownership of your Artifacts. Provider does not claim ownership of your files, grids, snapshots, metadata packages, mappings, business rules, or other customer materials.
You are responsible for confirming that you have the right to process any Artifacts with EPM Vitals. This includes any client, employer, platform, confidentiality, privacy, export, or data handling obligations that apply to those Artifacts.
Outputs may contain sensitive business data, EPM structure, calculations, account names, metadata, mappings, or other information derived from your Artifacts. You are responsible for protecting Outputs in the same way you protect the underlying Artifacts.
9. Production Data And Support
Provider does not accept production customer data for ordinary bug debugging.
If you need to report a product issue, use sanitized sample files, redacted screenshots, redacted logs, representative dummy data, or a minimal reproduction that does not contain confidential production data.
If a real Artifact is ever required for a controlled evaluation, paid pilot, or special support case, the scope, transfer method, access, retention, and deletion expectations must be agreed separately in writing before the Artifact is shared.
10. Updates, Support, And Professional Services
Provider may provide updates, bug fixes, documentation, or support at its discretion or as described in a separate written agreement.
Verified product bugs are handled separately from non-bug technical support, training, data adaptation, environment assistance, configuration advice, special workflow design, or custom development. Non-bug technical services are not included unless expressly stated in the applicable order or written agreement.
11. Fees, Refunds, And Taxes
Fees are stated in the applicable order, invoice, pricing page, or written agreement.
Checkout, payment processing, taxes, invoice handling, fraud checks, and refund processing may be handled by third-party checkout, merchant-of-record, payment, or tax providers.
The public Evaluation Pass is currently offered at USD 9.90 for 14 days for one named practitioner, unless a different amount is stated in the applicable order or written agreement.
The public annual Individual Practitioner License is currently offered at USD 199 per named user per year. If you upgrade from the Evaluation Pass, the USD 9.90 Evaluation Pass is credited toward the annual individual license.
Refunds are governed by the EPM Vitals Refund Policy. The Refund Policy includes a 14-day Evaluation Pass refund for eligible individual evaluations.
You are responsible for any taxes, duties, bank fees, payment processing charges, or other charges that apply to your purchase unless otherwise stated.
12. Term And Termination
The license term is stated in the activation code, order, invoice, or written agreement.
Provider may suspend or terminate access if you materially breach these Terms, exceed your License Scope, bypass activation, redistribute the software without permission, fail to pay applicable fees, or use EPM Vitals in a prohibited manner.
After termination or expiration, you must stop using EPM Vitals except as needed to export, retain, or manage Outputs that you are otherwise permitted to keep.
13. Ownership And Feedback
EPM Vitals, including the software, product design, documentation, workflows, activation system, trade names, and related intellectual property, is owned by Provider or its licensors.
You do not receive source code or ownership rights unless a separate signed agreement expressly says so.
If you provide feedback, suggestions, bug reports, or improvement ideas, Provider may use that feedback to improve EPM Vitals without owing compensation, provided Provider does not use your confidential Artifacts except as separately agreed.
14. Warranty Disclaimer
EPM Vitals is provided as a review and confidence tool for EPM delivery and operations work. It does not guarantee migration success, audit acceptance, financial correctness, platform compatibility for every artifact, production readiness, or error-free operation.
To the maximum extent permitted by law, EPM Vitals is provided "as is" and "as available" except for any written warranty expressly provided in a separate signed agreement.
15. Limitation Of Liability
To the maximum extent permitted by law, Provider is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, client claims, or loss of goodwill.
Any specific liability cap or exception may be stated in an applicable written agreement.
16. Compliance
You are responsible for using EPM Vitals in compliance with applicable law, export controls, privacy obligations, employment obligations, client contracts, platform terms, and internal policies.
You may not use EPM Vitals for unlawful, prohibited, or unauthorized purposes.
17. Governing Law
Governing law, venue, and dispute process may be stated in the applicable written agreement or order. Where required, those terms should be confirmed before purchase or deployment.
